Licensing company data in Ohio: a written security program helps you

Ohio has no comprehensive consumer privacy law, and it has done something unusual instead: it gives businesses a legal defense for keeping a written cybersecurity program that follows a recognized framework. For a company that wants to license its old records, that program is also the document a buyer will ask to see.

How the safe harbor helps a licensing deal

The Ohio defense is not a shield against everything. It answers tort claims that say a breach resulted from a failure to use reasonable security controls, and it does not cover every kind of claim. A company that licenses old records and later has a leak can point to the program as evidence of reasonable care.

The practical point is that the program has to exist and be written before the event. A closing company that wants to license an archive should check whether it ever kept one. If so, bring it to the first call. If not, the buyer’s security review will tell you what to fix.

Manufacturing records in Ohio

Ohio has a large manufacturing base, and a manufacturer’s archive of quality records and change orders brings its own rules: export control records, injury logs and customer drawings. Those are covered on the manufacturer closing page. The state adds no extra privacy duty on top of them.

Questions about licensing company data in Ohio: a written security program helps you

Does the safe harbor protect a data license?

It protects against some private lawsuits over a breach when a written, framework-based program was in place. It does not replace the contract terms or the rules of other states.

Do we need consent from everyone on a recorded call?

Ohio is a one-party consent state, so a participant may record. Other states’ rules still apply if the other party is elsewhere.

Is a privacy act on its way?

Bills have been introduced. The tracker we checked listed none enacted.
